Dropr Terms and Conditions
Review draft, November 3, 2026. Not in effect. Resolve every [NEED: ...] item before publication.
Review revision: draft-2026-11-03-r16. No binding version is approved.
Effective date: [NEED: publication date]
Dropr is operated by CodePilot Inc., San Francisco, California ("CodePilot," "we," or "us"). These terms cover the Dropr Mac app, websites, upload service, and public file links. They contain limits on our liability.
Customer support for account and billing questions: hello@codepilot.com. Privacy is explained in our Privacy Policy.
CodePilot Inc. public policy correspondence address: 981 Mission Street, San Francisco, CA 94103, USA.
1. Your account
The intended market for Dropr accounts at launch is the United States.
You must expressly agree to these terms before creating an account. If you act for a business, you must have authority to agree for it. Give us accurate account information and protect your email account, sign-in codes, and connected devices. Tell us promptly if someone uses your account without permission. You are responsible for the files you choose to upload and for people you authorize to use your account.
You must be at least 13 to create an account. If you are under 18, you must have permission from a parent or legal guardian to use Dropr.
2. Uploads are public
Dropr publishes files. Anyone with a share link or direct file link can open and download the file without signing in. Links can be forwarded or posted elsewhere. Random link IDs are not passwords. Original filenames and information embedded in the file can be visible. Do not upload confidential information, passwords, private records, or anything you lack permission to publish.
Files normally remain published until you delete them. We may also remove them under these terms or as required by law. A stable link is not a promise of permanent storage.
Deleting a file blocks new requests through Dropr's share and direct file links. Storage cleanup happens separately. Deletion cannot recall downloads, copies, screenshots, or transfers already in progress. Keep your own original files.
3. Your content and our permission to host it
You keep your rights in your files. You must own them or have all permissions needed to upload and publicly share them, including any permissions required from people whose personal information appears in them.
You give CodePilot a nonexclusive, worldwide, royalty-free permission to store, copy, transmit, and publicly display your uploads, and to create previews, solely to operate Dropr and deliver your files. Our service providers may do this on our behalf. This permission does not let us sell your files or use them in advertising without your separate permission.
That permission ends when the file is removed from the service, except for limited retention needed to complete deletion, meet legal duties, or preserve evidence of abuse as described in the Privacy Policy. Uploading does not transfer copyright to CodePilot or give recipients a general right to republish your work.
4. Content and conduct we prohibit
These rules apply to files you upload or store, as well as material you share through Dropr. They cover real, altered, and artificially generated material. You must not use Dropr for:
- Pornography: sexually explicit material intended for sexual arousal, including explicit sexual acts and pornographic depictions of nudity.
- Sexual exploitation: child sexual abuse material, sexualization or grooming of minors, sexual trafficking, or intimate images shared without the depicted person's consent, including fabricated intimate images.
- Hate and extremist propaganda: material that promotes hatred, dehumanization, discrimination, or violence against people because of race, ethnicity, national origin, religion, sex, sexual orientation, gender identity, disability, or similar personal characteristics; or material that promotes, recruits for, or raises funds for terrorist or violent extremist groups.
- Threats and abuse: credible threats, incitement to violence, targeted harassment, stalking, blackmail, or publication of private information to intimidate or endanger someone.
- Graphic cruelty: material that celebrates, encourages, or exploits torture, severe violence, or abuse of people or animals.
- Other unlawful or rights-violating material: copyright infringement, stolen files, unlawful disclosure of personal information, fraud, impersonation, or instructions intended to facilitate serious criminal harm.
- Technical abuse: malware, ransomware, phishing, spam, attacks on systems, unauthorized access, evasion of account or storage limits, or attempts to bypass a suspension.
We consider context when assessing reporting, criticism, education, and documentation. Depicting a hateful movement to report on it is different from promoting it. Context does not excuse sexual exploitation, threats, or other prohibited conduct.
Do not help others do these things through your account. Paying for Plus does not create an exception.
5. Reports, removal, and suspension
We do not review every upload before publication. An available file is not an endorsement or a guarantee that it is lawful, accurate, or safe to download.
We may review reported files and relevant account information, disable links, remove files, restrict uploads, or suspend or close accounts when we reasonably believe these terms have been broken, third-party rights are at risk, or action is needed for safety or legal compliance. Serious violations can lead to immediate account closure. We may act without advance notice when notice would increase harm, interfere with an investigation, or be unlawful.
Report prohibited or harmful content at hello@codepilot.com. Include the Dropr link and a brief explanation. You do not need an account to report content. Do not download or attach suspected child sexual abuse material or resend intimate images; provide the link instead. We may preserve or disclose relevant records when the law requires or permits it, as explained in our Privacy Policy.
[NEED: confirm the contact and procedure for asking us to review a removal or suspension. The approved public reporting inbox does not establish an appeal procedure, urgent staffing, statutory response-time compliance, or content-removal and restoration procedures.]
Intimate images shared without consent
If an intimate image of you was shared without your consent, you or your authorized representative can request removal at the abuse contact above. Include your physical or electronic signature, enough information to locate the image, a brief statement that you have a good-faith belief it was published without your consent, and contact information so we can respond. This process includes intimate images created or altered with AI.
[NEED: establish and verify the notice process and legal coverage before publishing this commitment: For valid requests covered by the federal TAKE IT DOWN Act, we remove the reported content as soon as possible and within 48 hours, and make reasonable efforts to find and remove known identical copies within that period.]
Copyright complaints
Telephone for the intended DMCA agent: +1 877-446-8080.
[NEED: The owner selected Sean Schertell as the intended DMCA agent and supplied the telephone number above for that public contact role. Registration is not complete. Confirm the authorized public agent mailing address and email, then resolve registration before publishing registered-agent details. Neither agent selection nor supplying a telephone number authorizes filing, payment, disclosure of other private contact details, or reuse of existing support contact information for registration. Call routing and message delivery have not been independently verified.]
A notice should identify the copyrighted work, identify the allegedly infringing material and its Dropr location, give your contact details and signature, and state both that you believe in good faith the use is unauthorized and that the notice is accurate. Under penalty of perjury, state that you are authorized to act for the copyright owner. We act expeditiously on valid notices and notify the uploader as required. We terminate repeat infringers in appropriate circumstances.
If your material was removed by mistake, you can send the agent a signed counter-notice identifying the material and its former location, your name, address, and phone number, and a statement under penalty of perjury that you believe the removal resulted from mistake or misidentification. You must also consent to the jurisdiction of the federal district court for your address, or, if outside the United States, a district where CodePilot may be found, and accept service from the complainant or their agent.
We promptly forward valid counter-notices to the complainant. Under the DMCA process, we restore access no earlier than 10 and no later than 14 business days after receiving a valid counter-notice, unless our agent receives notice that the complainant has filed a court action seeking to restrain the alleged infringement. A separate violation of our content rules can still prevent restoration. Notices and counter-notices may disclose your contact information to the other party. Knowingly false claims can have legal consequences.
[NEED: verify notice handling, restricted preservation, restoration, and repeat-infringer enforcement before publishing this process. Ordinary upload deletion purges file bytes and is not a verified copyright-dispute workflow.]
6. Free and Plus
Free does not require payment details. If you buy Plus, checkout shows the price, billing interval, applicable taxes, and recurring charge before you subscribe. Plus renews automatically each month or year, as selected, until you cancel. You authorize the recurring charges you expressly accept at checkout.
You can access Manage billing from Dropr's plan settings or web account to open the billing portal and cancel renewal online. If that fails, contact support. Removing the Mac app does not cancel a subscription. We send the confirmations and renewal or price-change notices required by law.
Canceling Plus stops future renewal charges. Plus continues until the end of the period you have already paid for.
[NEED: verify billing and entitlement settings implement the approved cancellation policy before publication. The policy is approved; its operating configuration has not been verified by this legal review.]
Payments are non-refundable except where the law requires a refund. Canceling, stopping use, or leaving part of a paid period unused does not entitle you to a voluntary refund. This policy does not limit refunds, billing corrections, or other remedies you are entitled to by law. Contact support about billing errors.
When Plus ends, your account returns to Free limits. A downgrade alone does not delete your published files. New uploads must fit your current limits. Failed or disputed payments may restrict paid features while the issue is resolved.
We may change future prices with the notice and consent required by law. A change does not increase the price of a period you have already paid for. Storage limits and available features are shown in the service; you must not bypass them.
7. Closing your account and changes to Dropr
You can delete individual uploads in your web account. To request account closure and personal-data deletion, contact the privacy contact in our Privacy Policy. If you have Plus, you can cancel renewal in Manage billing or ask us to handle cancellation with your closure request. We explain retention and legal exceptions in the Privacy Policy.
We may change or discontinue features or the service. Where practical, we give reasonable notice of a change that materially reduces a paid service or a planned shutdown, so you can save your files and cancel renewal.
If we discontinue paid service, the same refund policy applies, subject to any refund or other remedy required by law.
[NEED: review mandatory remedies for billing errors, service discontinuation, nonperformance, and applicable consumer rights before publication. The approved no-voluntary-refunds policy cannot override those obligations.]
8. The app and service
CodePilot and its licensors own Dropr's software, branding, and service. We give you a limited permission to use the app and service under these terms. Third-party software remains subject to its own licenses. Do not resell the service or use it to attack, disrupt, or gain unauthorized access to any system. Nothing here restricts rights that applicable law or an open-source license gives you.
9. Availability, warranties, and liability
Dropr is provided "as is" and "as available." We do not promise uninterrupted access, error-free software, permanent storage, or that every file will be safe. To the extent the law allows, we disclaim implied warranties of merchantability, fitness for a particular purpose, and noninfringement.
To the extent the law allows, CodePilot and its officers, employees, and service providers are not responsible for indirect or consequential losses, such as lost profits, lost business opportunities, or loss of data arising from use of Dropr. These limits apply even if we were told such losses were possible.
CodePilot's total liability for claims arising from Dropr or these terms is limited to the greater of US $100 or the amount you paid CodePilot for Dropr in the 12 months before the event giving rise to the claim. This cap applies across claims based on contract, negligence, or other legal grounds, to the extent the law allows.
These exclusions and limits do not apply to fraud, willful misconduct, gross negligence, or any liability that cannot lawfully be excluded or limited. Nothing here takes away mandatory consumer rights or remedies.
[NEED: final California legal review of the cap, its application, exceptions, and exact wording before publication. The owner approved the policy choice, not final wording or a guarantee of enforceability.]
10. Claims caused by your unlawful uploads or misuse
To the extent the law allows, you agree to cover reasonable damages, settlements, and legal costs from third-party claims against CodePilot caused by your unlawful uploads, infringement of another person's rights, or intentional misuse of Dropr in breach of these terms. This is an indemnity. It does not cover losses caused by CodePilot's own wrongdoing.
We will promptly tell you about a claim and give you a reasonable opportunity to participate in its defense. Any settlement you must pay requires your agreement, which you must not unreasonably withhold. You may not settle a claim in a way that binds CodePilot without our written agreement.
11. Disputes and updates
California law and applicable federal law govern these terms. Unless mandatory consumer law requires otherwise, disputes go to the state or federal courts in San Francisco, California. These terms do not require arbitration or waive your right to participate in a class action.
[NEED: final legal review of the governing-law and court provisions, mandatory consumer rights, and exact wording before publication. The owner approved the courts approach, not final wording or a guarantee of enforceability.]
Contact support if something goes wrong. Contacting us does not stop you from seeking urgent court relief or exercising rights under applicable law.
For material changes to these terms, we will notify account holders and state when the changes take effect. We will obtain fresh agreement when required. Changes do not retroactively remove rights you already have. If part of these terms cannot be enforced, the remaining parts continue where the law allows. A delay in enforcement does not waive our rights. Provisions about ownership, lawful retention, payment obligations already incurred, claims, and liability survive account closure where relevant.
